Article 1 – Application
1.1 The IFA Guidelines shall apply to the Transaction if they are referred to in the Orally Agreed Terms and/or are expressly incorporated by the Parties into the Confirmation and shall bind each Party unless, and to the extent, otherwise expressly stated in the Confirmation.
1.2 The governing law and jurisdiction of the Transaction shall be the law and jurisdiction chosen by the Parties in the Confirmation.
